1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Agni AI Solutions Ltd ("Company," "we," "us," or "our"), a company registered in England and Wales (Company No: 15142724), regarding your access to and use of our website, AI products, and related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

Agni AI Solutions provides AI-powered products and services, including but not limited to:

• HirebyAI.io: AI-powered recruitment and hiring platform
• Agni Insight: Business intelligence and analytics solutions
• Agni Assistant: Custom AI chatbot and virtual assistant solutions
• Agni Vision: Computer vision and image recognition solutions
• Agni Voice: Speech recognition and voice intelligence solutions
• Agni Predict: Predictive analytics and forecasting solutions

3. User Accounts

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use

4. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or unlawful content
• Attempt to gain unauthorised access to our systems
• Interfere with or disrupt our services
• Use automated systems to access our services without permission
• Collect or harvest user data without consent
• Engage in any discriminatory practices

5. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and AI models, are owned by Agni AI Solutions Ltd and are protected by international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our services for their intended purpose. This licence does not include the right to:

• Modify or copy our materials
• Use materials for commercial purposes without authorisation
• Reverse engineer any software
• Remove any copyright or proprietary notations

6. User Content and Data

You retain ownership of any content, data, or materials you submit to our services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, process, and analyse such content as necessary to provide our services.

You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any third-party rights.

7. Payment Terms

Certain services may require payment. By purchasing our services, you agree to:

• Pay all fees in accordance with the pricing and payment terms
• Provide accurate billing information
• Authorise us to charge your payment method

We reserve the right to change our pricing with reasonable notice.

Consumer Cancellation Rights

If you are a consumer (as defined under the Consumer Rights Act 2015), you have the right to cancel your order within 14 days of purchase without giving any reason, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

To exercise this right, you must inform us of your decision by a clear statement (e.g., email to contact@agniaisolutions.com). We will reimburse you within 14 days of receiving your cancellation notice.

Please note: If you request that we begin providing services during the cancellation period and subsequently cancel, you may be required to pay for the services already provided up to the point of cancellation, calculated proportionally.

Business-to-Business Contracts

For bespoke enterprise or B2B service contracts, refund and cancellation terms will be set out in the individual service agreement. The 14-day consumer cancellation right does not apply to contracts between businesses.

8. Disclaimers

To the extent permitted by law, our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. AI-generated outputs may contain errors and should be reviewed before use in critical applications.

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any matter which cannot be excluded or limited under applicable law, including your statutory rights under the Consumer Rights Act 2015.

9. Limitation of Liability

Subject to Section 8 above, to the maximum extent permitted by law, Agni AI Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of our services.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Agni AI Solutions Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our services or your violation of these Terms.

11. Termination

We may terminate or suspend your access to our services with reasonable written notice if you breach these Terms. In cases of serious or repeated breach, we may terminate immediately.

Upon termination, your right to use our services will cease. We will refund any prepaid fees for the unused portion of your subscription on a pro-rata basis. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property, indemnification, and limitation of liability.

You may terminate your account at any time by contacting us at contact@agniaisolutions.com. Consumer cancellation rights (Section 7) apply in addition to this clause.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you will benefit from any mandatory provisions of the law of the country in which you reside. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
